End-user licence agreement

Accuvanta (Pty) Ltd, a company registered in the Republic of South Africa ("Accuvanta", "we")

Version 1.0, October 2026

Please read this agreement before installing Accuvanta. By ticking "I accept" and installing, or by using the software, you ("the Customer") agree to it on behalf of yourself and the business you install it for. If you do not agree, do not install or use Accuvanta.

1. The licence

1.1 Accuvanta grants the Customer a non-exclusive, non-transferable licence to install and use the Accuvanta software ("the Software") for the Customer's own business, within the edition, number of users, companies and add-on modules stated in the Customer's licence code or subscription.

1.2 The Software is licensed, not sold. Accuvanta and its licensors keep all rights, title and intellectual property in the Software, its documentation and updates.

1.3 The Customer may not: copy the Software except for backups; sell, rent, sublicense or lend it; reverse engineer, decompile or disassemble it, except where the law expressly allows; remove or alter any notices; tamper with or work around the licence, trial or subscription controls; or use it to provide services to third parties as a bureau without Accuvanta's written consent.

2. Trial, licence codes and subscriptions

2.1 A trial installation may be used for evaluation for the trial period shown in the Software (currently 30 days). When the trial ends the Software becomes read-only until a licence code is entered: the Customer's data stays available to view, report on and export.

2.2 Licence codes are issued by Accuvanta or an authorised Accuvanta partner and are linked to one installation.

2.3 For a monthly subscription, the Software checks the subscription status with Accuvanta from time to time. If a subscription is not paid by the due date, or the installation cannot confirm its status for an extended period, the Software becomes read-only after the grace period shown in the Software, until payment is received or the connection is restored. The Customer's data is never deleted or withheld because of non-payment.

2.4 Fees, payment terms and support levels are set out in the Customer's order, invoice or agreement with Accuvanta or its partner.

3. THE CUSTOMER'S DATA

3.1 The Customer's accounting and business data belongs to the Customer and is stored on computers the Customer controls. Accuvanta does not receive or store that data, except as described in 3.3 or as the Customer chooses to share it (for example with Accuvanta support).

3.2 The Customer is responsible for its computers, network, user accounts and passwords, and for keeping regular backups in a safe place away from the main computer. The Software provides backup tools; Accuvanta is not responsible for data lost because backups were not made or kept.

3.3 To work, the Software exchanges limited information with Accuvanta's services: the installation identifier and licence code (licence and subscription checks, updates and support), and, only when the Customer uses them, the text sent to optional online services such as the AI add-on, voice, invoice reading or payment providers. Where personal information is processed, Accuvanta does so in line with the Protection of Personal Information Act, 2013 (POPIA) and its privacy notice.

3.4 The Customer is the responsible party for personal information about its own customers, suppliers and employees that it records in the Software, and must have a lawful basis for processing it, including for direct marketing.

4. THE CUSTOMER'S RESPONSIBILITIES

4.1 Accuvanta is a tool. The Customer remains responsible for its books, tax returns, payroll, statutory submissions and the decisions it makes. The Customer should have its accounts, VAT, PAYE and other submissions checked by a qualified person.

4.2 Tax tables, VAT rates and statutory rules change. Accuvanta updates the South African tables it supports; tables for other countries are supplied as drafts that the Customer or its adviser must check and confirm before use, as shown in the Software.

4.3 Results produced with the help of artificial intelligence (such as drafted documents, read invoices or written answers) must be checked by the Customer before they are relied on or saved.

5. Updates and support

Accuvanta may provide updates, which may change or add features. Support is provided by Accuvanta or the Customer's Accuvanta partner as agreed in the Customer's order. Remote support takes place only with the Customer's permission.

6. Third-party components and services

The Software includes open-source and third-party components, licensed under their own terms, listed in the file THIRD-PARTY-NOTICES.txt installed with the Software. Third-party services the Customer chooses to connect (for example banks, payment providers, website platforms or email providers) are governed by the Customer's own agreements with those providers.

7. Warranty

7.1 Accuvanta warrants that, for 30 days after first installation of a paid licence, the Software will perform substantially as described in its documentation. The Customer's sole remedy for a breach of this warranty is that Accuvanta will, at its option, correct the defect, replace the Software or refund the licence fee paid for the affected period.

7.2 Except as stated in 7.1 and to the extent permitted by law, the Software is provided "as is", and Accuvanta gives no other warranties, express or implied, including that the Software will be error-free or uninterrupted. Nothing in this agreement limits rights the Customer has under the Consumer Protection Act, 2008, where that Act applies.

8. Limitation of liability

8.1 To the extent permitted by law, Accuvanta is not liable for indirect, special or consequential loss, including loss of profit, revenue, data or business, penalties or interest imposed by any authority, however caused.

8.2 Accuvanta's total liability under or in connection with this agreement is limited to the licence or subscription fees the Customer paid Accuvanta for the 12 months before the event giving rise to the claim.

8.3 Nothing in this agreement excludes liability for fraud, gross negligence or anything that cannot be excluded by law.

9. Term and termination

This licence continues until terminated. Accuvanta may terminate it by written notice if the Customer materially breaches this agreement and does not remedy the breach within 14 days of notice. On termination the Customer must stop using the Software, but may keep and use exports and backups of its own data. Sections 3, 7.2, 8 and 10 survive termination.

10. General

10.1 This agreement is governed by the laws of the Republic of South Africa, and the South African courts have jurisdiction.

10.2 This agreement, together with the Customer's order or subscription terms, is the whole agreement about the Software. If any part is unenforceable, the rest remains in force. A failure to enforce a right is not a waiver of it.

10.3 Accuvanta may update this agreement for future versions of the Software; the version accepted when installing a version applies to that version.
